Welcome to VestaList. These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User," "you") and VestaList Inc., a Delaware corporation ("VestaList," "we," "us," or "our"), governing your access to and use of the VestaList platform, website, mobile apps, and related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use VestaList.

1. About VestaList

VestaList provides AI-powered tools for real estate professionals, including:

  • AI-generated social media content
  • Brand-aligned templates
  • Automated scheduling and publishing to Instagram and Facebook
  • Tone extraction from social profiles
  • Property data scraping and transformation

These Services are provided "as is" without guarantees of accuracy, results, or compliance.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract.

By using the Services, you represent and warrant that:

  • You are a licensed real estate agent, broker, or authorized marketer, or
  • You have all rights necessary to use listing information you provide.

3. Account Registration

You must create an account to use the Services. You agree to:

  • Provide accurate information
  • Keep your login credentials secure
  • Accept all responsibility for activity that occurs under your account

VestaList may suspend or terminate accounts for violations of these Terms.

4. User Content

"User Content" includes any images, videos, listing details, property data, branding assets, social media data, and any other materials you provide or upload.

4.1 Ownership

  • You retain ownership of all User Content.
  • You also retain ownership of all outputs generated from your data.

4.2 License to VestaList

To operate the Services, you grant VestaList a worldwide, irrevocable (except upon deletion), royalty-free license to:

  • Host, store, process, reproduce, modify, adapt, and analyze User Content
  • Generate derivative works (AI outputs)
  • Use your data to train, fine-tune, or improve our AI models and systems
  • Display your outputs within your account

This license ends when your data is deleted, except where law requires retention or where data was used for model training prior to deletion.

4.3 Your Responsibilities

You represent and warrant that:

  • You have all rights necessary to upload the content
  • All images, videos, and listing materials are your own or properly licensed
  • Your content does not infringe third-party copyrights
  • Your content does not violate MLS, NAR, CREA, brokerage, or local regulations
  • Your content does not violate fair housing laws

You are solely responsible for all User Content and consequences of its use.

5. AI-Generated Content

VestaList uses artificial intelligence to generate captions, posts, templates, and other outputs.

5.1 No Guaranteed Accuracy

AI outputs may contain inaccuracies, errors, outdated information, or unintended content.

5.2 Mandatory Human Review

You agree that:

  • All outputs must be reviewed, corrected, and approved by you prior to posting
  • You are 100% responsible for accuracy, legality, compliance, and representation

VestaList has no liability for any content you publish.

6. Real Estate Compliance

You acknowledge and agree that you alone are responsible for complying with:

  • MLS rules and restrictions
  • Brokerage policies
  • Franchise rules
  • CREA, NAR, and local board regulations
  • Local/state/federal real estate advertising laws
  • Copyright laws
  • Fair housing and anti-discrimination laws

VestaList does not provide legal, compliance, or brokerage advice.

7. Third-Party Integrations

VestaList integrates with platforms including Instagram and Facebook.

You acknowledge that:

  • Third-party APIs may fail, change, or impose limits
  • Accounts may be disconnected due to platform rules
  • Platforms may reject or remove posted content
  • VestaList is not liable for outages, takedowns, or compliance enforcement by Meta or others

Your use of third-party platforms is governed by their own Terms.

8. Subscriptions & Billing

8.1 Plans

VestaList offers monthly and yearly subscription plans through Stripe.

8.2 Auto-Renewal

All subscriptions renew automatically unless cancelled prior to renewal.

8.3 No Refunds

Payments are non-refundable, including partial periods or unused time.

If you cancel, you retain access until the end of the current billing cycle.

9. Prohibited Uses

You may not:

  • Upload content you do not own or lack rights to
  • Misrepresent a property, price, or listing status
  • Circumvent fair housing, advertising, or licensing laws
  • Interfere with the Services or attempt unauthorized access
  • Use VestaList to generate misleading or fraudulent content
  • Reverse-engineer or attempt to extract models or datasets

10. Data Retention & Deletion

  • VestaList stores user data indefinitely unless deletion is requested.
  • You may request permanent deletion of your account and content.
  • VestaList may delete inactive accounts or stored data at its sole discretion at any time.

Deleted data may persist in:

  • Backups (until overwritten)
  • Model training artifacts
  • Legal or compliance-required archives

11. Privacy

By using VestaList, you also agree to the VestaList Privacy Policy.

The Privacy Policy describes:

  • What data we collect
  • How we use it
  • How long we store it
  • With whom it may be shared
  • How AI training works

12. Limitation of Liability

To the fullest extent permitted by law:

12.1 No Liability for User Actions

VestaList has zero liability for:

  • User Content
  • AI-generated outputs
  • Social media posts
  • Compliance failures
  • Real estate advertising violations
  • Copyright misuse
  • Loss of leads, revenue, or reputation

12.2 Maximum Liability

If VestaList is found liable despite the above, our total liability is limited to: The amount you paid to VestaList in the last 12 months.

12.3 No Warranties

The Services are provided "as is" with no warranties of:

  • Accuracy
  • Fitness for a particular purpose
  • Reliability
  • Increased leads or business results

Results vary and are not guaranteed.

13. Indemnification

You agree to indemnify, defend, and hold harmless VestaList Inc., its officers, employees, and contractors from all claims, liabilities, damages, losses, costs, and legal fees arising out of:

  • Your User Content
  • Your AI-generated content
  • Your social media posts or publications
  • Your violation of laws or regulations
  • Your violation of these Terms
  • Third-party claims relating to copyright, fair housing, or misrepresentation

14. Termination

VestaList may suspend or terminate your account at any time, including for:

  • Violating these Terms
  • Uploading unauthorized or infringing content
  • Abuse of the Services
  • Risk, fraud, or legal concerns

Upon termination:

  • Your access ceases immediately
  • No refunds will be issued

You may delete your account at any time.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any disputes must be resolved in the state or federal courts located in Delaware.

16. Changes to Terms

We may modify these Terms at any time.

We will notify users of material changes by email or in-app notice.

Continued use of the Services after changes constitutes acceptance.
